ASIC fees are statutory charges set under the Corporations (Fees) Act 2001 and Corporations (Review Fees) Act 2003. They are indexed each 1 July by reference to the Consumer Price Index for the previous March quarter. Operators must always confirm current amounts on the official ASIC fee schedule before lodgement; the answers below explain the structure and the fee categories rather than fixed dollar amounts.

How are ASIC fees set?

Under the Corporations (Fees) Act 2001 s.6, the fees payable for ASIC chargeable matters are prescribed in the Corporations (Fees) Regulations 2001. Annual review fees are governed by the separate Corporations (Review Fees) Act 2003 and Corporations (Review Fees) Regulations 2003. The amounts are indexed by ASIC’s CFO each year using the formula in s.6 of the indexation legislation. The new schedule takes effect on 1 July and applies to lodgements from that date.

Where do I find the current fees?

Three official ASIC pages publish current amounts:

What does it cost to register a Pty Ltd?

Initial registration is via Form 201 under Corporations Act 2001 (Cth) s.117. The prescribed fee is set in the Corporations (Fees) Regulations 2001 item 1 (proprietary company registration). Public company registration fees are higher, also under item 1 (separate sub-row for public limited).

The fee is charged per application. ASIC does not differentiate between a sole-member Pty Ltd, a multi-founder Pty Ltd, or a foreign-parent subsidiary for registration purposes — all use Form 201 and pay the same item-1 fee.

Is reserving a company name an extra fee?

Yes. Reservation under Corporations Act 2001 (Cth) s.152, lodged via Form 410, attracts a separate fee under Corporations (Fees) Regulations 2001 item 6. Reservation lasts 2 months and is renewable. Reservation is optional — most lodgements proceed straight to Form 201 without prior reservation, since Form 201 itself includes a name check.

What is the annual review fee?

Under Corporations Act 2001 (Cth) s.345A, ASIC issues an annual statement on the anniversary of the company’s registration. The annual review fee, prescribed under the Corporations (Review Fees) Regulations 2003, is the largest recurring statutory cost for an Australian company.

Company TypeApproximate Annual Review Fee Tier
Special-purpose proprietaryLowest tier (CCIV constitutional reasons)
Proprietary (ordinary Pty Ltd)Standard tier
Public limited by guaranteeHigher tier
Public limited by sharesHighest tier

The exact amount is in the Schedule and updated each 1 July. Failure to pay the annual review fee within 2 months of the review date is a primary cause of company deregistration under s.601AB.

Are there fees for Form 484 (change to company details)?

Form 484 is free to lodge on time. Fees apply only when lodgement is late. Under Corporations (Fees) Regulations 2001 item 28:

Late PeriodLate-Fee Tier
Up to 1 month lateTier 1 (lower)
Over 1 month lateTier 2 (higher)

The s.205B notification window is 28 days from the underlying event (e.g. director appointment, address change). Lodging on day 29 triggers tier 1; lodging more than a month late triggers tier 2.

Do I pay GST on ASIC fees?

No. ASIC fees are statutory taxes/charges under Australian law and are GST-free under the A New Tax System (Goods and Services Tax) Act 1999 (Cth) s.81-5. Your tax invoice or receipt will show no GST component.

Is there a fee to apply for a Director ID?

No. The Director Identification Number, required under Corporations Act 2001 (Cth) s.1272C, is issued by the Australian Business Registry Services (ABRS) free of charge. Apply at https://www.abrs.gov.au/director-identification-number using myGovID. Some commercial services charge a fee to “assist” with the application — this is not an ASIC or government fee and is not required.

Are ABN, TFN, and GST registration fees?

No. Registrations administered by the Australian Taxation Office (ATO) and Australian Business Register (ABR) are free:

The Business Registration Service at https://register.business.gov.au/ bundles ASIC and ATO/ABR registrations in one workflow, but you only pay the ASIC component.

What does it cost to deregister a company voluntarily?

Voluntary deregistration of a small Pty Ltd is via Form 6010 under Corporations Act 2001 (Cth) s.601AA. The application fee is prescribed under Corporations (Fees) Regulations 2001 item 24. Eligibility under s.601AA(2) requires that the company:

What if I miss the annual review fee?

If the annual review fee is unpaid 12 months after the annual review date and the company has not been wound up, ASIC may begin the deregistration process under s.601AB(1). The company is removed from the register and ceases to exist. To reinstate, an application under s.601AH must be made — this attracts a separate fee under Corporations (Fees) Regulations 2001 item 22.

The practical lesson is straightforward: pay the annual review fee within 2 months of the review date.

Are constitution-amendment lodgements free?

A special resolution amending the constitution under s.136 must be notified to ASIC via Form 205 within 14 days (s.136(5)). Form 205 is free to lodge on time; late lodgement triggers item-28 late fees.

What about share-issue notifications (Form 484, item B1)?

Section 254X requires notification of a share issue within 28 days. The notification is a B1 component of Form 484 and is free if lodged on time.

Practical fee-management checklist

  1. Diary the annual review date.
  2. Pay the annual review fee within 2 months.
  3. Lodge Form 484 within 28 days of any officeholder, address, member, or share-issue change.
  4. Lodge Form 205 within 14 days of any constitution amendment.
  5. Use ASIC Connect for direct lodgement; no agent fee.
  6. Check ASIC’s fee indexation page each 1 July for new amounts.
